Notice on organizational changes and planned establishment of a management company in Europe

Please be advised that the Board of Directors of Kintetsu World Express, Inc., on 21st December 2005, resolved in favor of the following agenda:
1. EA management company
(1) Aiming to accelerate the ongoing localization of the KWE Group companies in the Europe and Africa region, the following company should be established in order to manage and control the relevant activities there.

2. Certain organizational changes (as of 1st January 2006)
(1) Abolishment of the "Asia and Oceania Regional Headquarters" and establishment of two regional headquarters in substitution thereof
The KWE Asia and Oceania Regional Headquarters should be abolished as of 31st December 2005, and the KWE East Asia and Oceania ("EO") Regional Headquarters and the KWE South-East Asia and Middle East ("SM") Regional Headquarters be established as of 1st January 2006. For one thing, it is to focus on each of the growing markets of China, India and Vietnam and better serve our clients there. For another, the Middle East markets, currently under the KWE Europe and Africa region but showing growth in imports from Asia, should be incorporated into the SM region, to seek the Group's synergy in terms of interregional sales cooperation.
(2) New regional headquarters to be established
The KWE East Asia and Oceania Regional Headquarters ("EOHQ")
